Supplier Code of Conduct (SCOC)

此行为规范(提供给所有供应商、卖主以及被许可者等(统称为供应商))适用于所有为青海泰丰先行或根据与泰丰先行或其分支、代理机构的许可协议生产、销售任何带有泰丰先行公司系列商标的产品或服务的泰丰先行公司的分支、附属机构及其他任何有关单位提供产品的所有供应商。

This Code of Conduct (provided to all suppliers, vendors, licensees, etc. – hereinafter called “supplier(s)”) applies to all suppliers that produce or provide goods for Taifeng or any of its subsidiaries, divisions, affiliates or agents and all entities that produce, source, distribute, market, and/or sell goods or services under trademarks of Taifeng pursuant to a license with TAIFENG or any of its subsidiaries, divisions, affiliates or agents.

    在考虑到各供应商处于全球不同法律、文化背景的情况下,此规范阐明了泰丰先行在环境、劳工、用工条件及伦理实践等方面对其供应商的基本期望与要求。同时此规范也是作为泰丰先行对供应商在雇佣和环境保护方面进行评估的基本准则。

While Taifeng recognizes that there are different legal and cultural environments in which Suppliers operate throughout the world, this Code sets forth the basic expectations for environmental, labor, supplier working conditions and ethical practices that all suppliers must meet in order to do business with Taifeng. The Code also provides the foundation for Taifeng’s ongoing evaluation of a supplier’s employment practices and environmental compliance.

  1. 总则

    General Principle

    为泰丰先行提供产品或服务的供应商的运作,应完全遵守所在国家法律及其他现行规则、惯例和法规。

    Suppliers that produce goods for Taifeng shall operate in full compliance with the laws of their respective countries and with all other applicable laws, rules and regulations.

    1. 供应商的工厂应完全遵守现行的法律、惯例和法规,其中包括但不限于与劳动关系、员工健康、安全以及环境相关的法律、惯例和法规。

    1. The factory operates in full compliance with all applicable laws, rules and regulations, including those relating to labor, worker health and safety, and the environment.

    2. 在合理通知的前提下,供应商应允许泰丰先行和/或其代表、代理自由进入其厂区查看并获取所有相关记录。

    3. The factory allows Taifeng and/or any of its representatives or agents access to its facilities and to all relevant records with reasonable notice.

    4. 供应商应保证其雇员确知该行为准则并且要求其次承包者及供应商遵循本规则。

      c) Suppliers shall communicate the conditions of this Supplier Code of Conduct to their employees, and shall require its subcontractors and suppliers to comply with its terms.

  1. 环境

    Environment

    供应商必须遵守所有现行的环保方面的法律法规;鼓励供应商贯彻节能减排及循环利用能源、资源。

    Suppliers must comply with all applicable environmental laws and regulations.  Suppliers are encouraged to implement the concepts of Reduce, Reuse and Recycle. 

    1. 供应商应该建立自身的环保管理体系并制定与当地环保法规相符的实施条例,条例中应包括持续提高环保标准的条款。

      a) The factory has an environmental management system that describes compliance with local laws and regulations and has provisions for continuous improvement.

    2. 供应商应建立相关规范程序,以确保在发生意外泄漏或其他影响环境的紧急事件时,能及时通知地方权力机构进行紧急处理。

    3. The factory has procedures for notifying local community authorities or any other environmental agency of non-compliant air or water discharge or release.

  2. 社会责任

    Social Accountability

    1. 歧视-供应商雇佣员工应基于其工作能力,而非个人特征或信仰。

  1. Discrimination - Suppliers shall employ workers on the basis of their ability to do the job, not on the basis of their personal characteristics or beliefs.

    I.供应商雇佣员工,不应考虑其种族、肤色、性别、国籍、宗教、年龄、生育或婚姻等状况

    I .The factory employs workers without regard to race, color, gender, nationality, religion, age, maternity or marital status.

    II供应商支付员工工资及提供福利,不应考虑员工的种族、肤色、性别、国籍、宗教、年龄、生育或婚姻等状况。

    II The factory pays workers wages and provides benefits without regard to race, color, gender, nationality, religion, age, maternity or marital status.

    b)强制劳动-供应商不得使用囚犯或任何其它强制劳动力,同时严禁以工抵债行为。

    Forced Labor – Suppliers shall not use any prison, indentured or forced labor.

    I 供应商不得使用任何非自愿劳动力,其中包括囚犯、以工抵债劳动力或者其他强制劳动力。且在任何时候都不能在违背工人意愿的情况下强迫雇佣。

    The factory does not use involuntary labor of any kind, including prison labor, debt bondage or forced labor by governments and does not require any worker to remain in employment for any period of time against his or her will.

    供应商不得进行任何奴隶或人口贩卖行为, 其中包括但不限于透过使用武力、欺诈或强迫手段招聘、窝藏、运输、教唆、供应或获取人员从事劳动或服务工作

    The factory does not engage in slavery or in human trafficking of any kind, including but not limited to the recruitment, harboring, transportation, solicitation, provision or acquisition of persons for labor or services through the use of force, fraud or coercion.

    c) 童工-供应商应雇佣满足本国现行法律最低工龄要求,或至少16周岁的员工;如两者不一致以高者为准。

    c) Child Labor - Suppliers shall employ only workers who meet the applicable minimum legal age requirement or are at least 16 years of age, whichever is greater.

    I 供应商应遵守所有适用的关于雇佣童工的法律,包括但不限于与雇用、工资、工时、加班和工作环境相关的法律。

    The factory complies with all applicable child labor laws, including those related to hiring, wages, hours worked, overtime and working conditions.

    II供应商应保存证明每名员工出生日期的官方文件的复印件。在获取不到能够有效核实员工确切出生日期文件的情况下,供应商应采用适当可信的评判办法来判定员工的年龄。

    The supplier maintains official documentation for every worker that verifies the worker’s date of birth. In those countries where official documents are not available to confirm exact date of birth, the supplier confirms age using an appropriate and reliable assessment method.

    d)工资及工时-供应商应根据相关适用的法律设定工时、工资和加班费用。工人工资应至少满足法定最低工资或与当地工业标准相符,两者不一致以高者为准。在确需加班的情况下,供应商也应控制加班时间,在确保不侵害员工基本权益的情况下进行生产。

    Wages & Hours - Suppliers shall set working hours, wages and overtime pay in compliance with all applicable laws.  Workers shall be paid at least the minimum legal wage or a wage that meets local industry standards, whichever is greater. While it is understood that overtime may be required, suppliers shall carry out operations in ways that limit overtime to a level that ensures humane and productive working conditions.

    供应商应根据相关法律要求或地方工业标准支付加班或奖励(或计件)费用,两者不一致以高者为准。计时加班工资必须高于平时非加班时间工资。

    The factory pays overtime and any incentive (or piece) rates that meet all legal requirements or the local industry standard, whichever is greater. Hourly wage rates for overtime must be higher than the rates for the regular work shift.

    e)工作环境-供应商必须尊重所有员工并为其提供安全健康的工作环境。供应商应遵守所有适用的关于工作环境的法律法规。禁止供应商使用体罚或其他任何生理或心理胁迫方式。供应商厂区内应保持充足的灯光和通风、便捷的通道、设备维护良好、有害物质应标注醒目标志并得以完善地储存、处理。为员工提供住宿的供应商必须保持住宿场所清洁、安全。

    e) Working Conditions - Suppliers must treat all workers with respect and dignity and provide them with a safe and healthy environment. Suppliers shall comply with all applicable laws and regulations regarding working conditions.  Suppliers shall not use corporal punishment or any other form of physical or psychological coercion.  Supplier’s facilities must be sufficiently lighted and ventilated, aisles accessible, machinery maintained, and hazardous materials sensibly stored and disposed of. Suppliers providing housing for workers must keep these facilities clean and safe.

    i供应商的工厂遵守所有适用的关于工作环境的法律法规,其中包括员工健康与安全、工业卫生、卫生设施、防火安全和电类、机械及建筑安全等规范。

    The factory complies with all applicable laws regarding working conditions, including worker health and safety, industrial hygiene, sanitation, fire safety, and electrical, mechanical and structural safety.

    ii有足够标有明确标识的出口,以备在出现火情或其他紧急事件时员工得以有序疏散。紧急情况疏散路线图必须悬挂在明显的位置并清楚地标明于工厂内各区域。

    There are sufficient, clearly marked and unlocked exits allowing for the orderly evacuation of workers in case of fire or other emergencies. Emergency exit routes are posted and clearly marked in all sections of the factory.

    iii工厂至少每年进行一次疏散演习。

    Evacuation drills are conducted at least annually.

    iv在工作时间,工厂为所有员工提供可饮用水,且方便员工饮用。

    The factory provides potable water for all workers and allows reasonable access to it throughout the working day.

    v工厂保证在工作时间为员工提供清洁卫生的卫生间,不允许无故限制使用。

    The factory maintains throughout working hours, clean and sanitary toilet areas and places no unreasonable restrictions on their use.

    vi工厂将有害和易燃物质存储在安全通风的场所,在对其处理时,要使用安全合法的处理方式。

    The factory stores hazardous and combustible materials in secure and ventilated areas and disposes of them in a safe and legal manner.

    II住宿(如供应商提供员工住宿)

    Housing (if applicable):

    i宿舍区应遵守所有与健康安全相关的适用法律法规,其中包括防火安全、卫生、遇险防护、以及电类、机械和建筑安全等规范。

    Dormitory facilities meet all applicable laws and regulations related to health and safety, including fire safety, sanitation, risk protection, and electrical, mechanical and structural safety.

    ii住宿区内,每名员工的休息区域应满足法定最低要求且符合地方工业标准。

    The living space per worker in the sleeping quarters meets both the minimum legal requirement and the local industry standard.

    iii每一楼层应有明确标识的出口,且在走道、楼梯间和出口上方安装有紧急照明设施。

    There are clearly marked exits on each floor, and emergency lighting is installed in halls, stairwells and above each exit.

    iv为确保发生火情或其他紧急事件时安全撤退,紧急疏散路线图应张贴在所有就寝区域。

    Directions for evacuation in case of fire or other emergencies are posted in all sleeping quarters.

    v禁止将生产过程中所使用的有害或易燃物质存储在与就寝区域相接区域或直接存放在住宿区内。

    Hazardous and combustible materials used in the production process are not stored in the dormitory or in buildings connected to sleeping quarters.

    vi至少每年进行一次防火演习。

    Fire drills are conducted at least annually.

    vii住宿区域内有饮用水的设施。

    Potable water is available to dormitory residents.

    f)自由结社-员工可根据个人意愿自由结社。禁止供应商对员工以合法、和平方式集体结社、组织或谈判的意愿进行干涉。是否实施以上行为应完全由员工个人意志决定。

    Freedom of Association- Workers are free to join associations of their own choosing. Suppliers must not interfere with workers who wish to lawfully and peacefully associate, organize or bargain collectively. The decision whether or not to do so should be made solely by the workers.

    4. 商业道德规范

    4.   Business Ethics

  1. 反腐败-供应商应该遵循所有反腐败方面可适用的法律,包括但不限于如《美国海外行贿法案》中规范与政府官员交往行为的法律。供应商不得为提升泰丰先行的商业利益或者与泰丰先行之间的商业往来而违背法律进行任何贿赂行为或者任何其他不当的金钱支付。

    a)  Anti-Corruption - Suppliers must comply with all applicable laws, including those laws governing conduct with government officials such as the U.S. Foreign Corrupt Practices Act.  Suppliers will not make any offer or payment that would constitute an illegal bribe under applicable law, nor otherwise engage in any illegal or corrupt practices in order to promote or advance TAIFENG’s business interest or in an attempt to increase the business the Supplier has with TAIFENG.

  2. 知识产权

    Intellectual Property

  1. 供应商应该充分尊重泰丰先行或其他任何第三方的知识产权。供应商应采取任何必要的行为保护泰丰先行知识产权以及泰丰先行品牌的完整性,同时确保其供应商以及次承包人对泰丰先行品牌有同样的尊重和保护。

Supplier respects both Taifeng and third party intellectual property rights.  Supplier takes all actions necessary to protect Taifeng intellectual property and Taifeng Brand integrity, and accepts responsibility to hold their suppliers and sub-contractors accountable as well.

  1. 在提供产品给泰丰先行过程中,供应商应采取适当行动以确保不侵犯任何第三方的专利并采取必要行动确保泰丰先行不会收到任何侵权产品。上述行动包括但不限于采用专利搜索和分析等。

In supplying products to Taifeng, Supplier does not violate or infringe on any third party patents, and takes appropriate action to ensure that Taifeng will not receive any infringing products.  Action may include but is not limited to freedom to use patent searches and analysis thereof to ensure compliance.

  1. 关系责任-供应商应该对泰丰先行内部员工行为规范有明确认知。《泰丰先行公司员工行为规范》可根据供应商的要求提供给供应商。《行为规范》内容包括泰丰先行员工不得向供应商索取礼物,也不得接受供应商提供的礼物和招待,如果上述礼物和招待会影响或可能影响泰丰先行员工与供应商合作中的商业决定,或干扰泰丰先行员工在履行职责时的公正性。

Relationship responsibility - Supplier must be sensitive to Taifeng colleague internal codes of conduct.  Copies of these codes can be provided upon request.  Taifeng Code example includes Taifeng colleague cannot solicit any gifts from supplier nor can a colleague accept any gifts or entertainment if they could influence, or appear to influence, the colleague’s business decisions on behalf of the supplier, or interfere with the colleague’s ability to be impartial in carrying out duties.

5. 关于负责任矿产资源供应链尽责管理的供应商告知书

Notification letter to suppliers concerning due diligence for responsible supply

chains of minerals

充分认识到在受冲突影响和高风险区域从事矿产开采、交易、处理、出口存在可能形成重大负面影响的风险, 并认识到企业有尊重人权、不对社会产生负面影响的义务, 泰丰先行承诺采纳中国五矿化工进出口商会(CCCMC)发布的《中国负责任矿产供应链尽责管理指南》(以下简称《中国指南》)、经济合作与发展组织(OECD)发布的《经济合作与发展组织关于来自受冲突影响和高风险区域的矿石的负责任供应链尽责管理指南》(第三版)(以下简称《OECD指南》),以及《多德-弗兰克华尔街改革和消费者保护法》(以下简称《多德-弗兰克法案》)关于钨、锡、钽、金(以下简称3TG)矿产在冲突地区的管理条例,并将其纳入与矿产资源供应商签订的合同或协议之中。泰丰先行将广泛传播此政策,并且将此政策按照《中国指南》和《OECD指南》在矿产资源供应链中推行。

Fully recognize that the mining, trading, processing, and exporting of the minerals in the conflict-affected and high-risk areas may have a significant negative impact, and recognize that companies have an obligation to respect human rights and never have any negative impact on society. Taifeng is committed to adopting the "China Responsible Mineral Supply Chain Due Diligence Management Guide" (hereinafter referred to as "China Guidance") which was issued by China Chamber of Commerce of Metals, Minerals & Chemicals Importers and Exporters (CCCMC) and the "OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas, Third Edition" (hereinafter referred to as "OECD Guidance") which was issued by Organization for Economic Cooperation and Development (OECD), and "Dodd-Frank Wall Street Reform and Consumer Protection Act" (hereinafter referred to as "Dodd-Frank Act") regulating the Tin, Tantalum and Tungsten and Gold (hereinafter referred to as "3TG") Minerals in Conflict Areas. We incorporate these two Guidance into contracts or agreements with mineral resource suppliers. Taifeng will widely promote this Policy, and endeavor to implement this policy in the mineral resources supply chain in accordance with the “China Guidance” and “OECD Guidance”.

5.1. 与矿产开采、运输、或交易有关的严重侵权行为:

5.1. Regarding serious abuses associated with the extraction, transport or trade of minerals

在高风险区域开展采购或经营活动时,泰丰先行既不会容忍也不会以任何方式获利于、帮助、协助或便利任何一方实施:

While sourcing from, or operating in, conflict-affected and high-risk areas, Taifeng will neither tolerate nor by any means profit from, contribute to, assist with or facilitate the commission by any party of:

  1. 最恶劣形式的童工;(在世界劳工组织1999年最恶劣形式的童工公约(第182号)的第三节中定义了最恶劣形式的童工,其中(d)条款中规定了其中一种形式,即其性质或是在其中从事工作的环境,很可能损害儿童的健康、安全或道德的工作

    a. The worst forms of child labor; (In the International Labor Organization C182 - Worst Forms of Child Labor Convention, 1999 (No. 182) the worst form of child labor is defined in Chapter 3, wherein the sub-clause (d) defines one of the form, that is work which, by its nature or the circumstances in which it is carried out, is likely to harm the health, safety or morals of children);

    b. 任何形式的酷刑、残暴、不人道和有辱人格的待遇;

    b. Any forms of torture, cruel, inhuman and degrading treatment;

    c. 任何形式的强迫或强制劳动,即以惩罚作为威胁榨取的任何个人的,非自愿提供的劳动或者服务;

    c. Any forms of forced or compulsory labor, which means work or service which is exacted from any person under the menace of penalty and for which said person has not offered himself voluntarily;

    d. 其他严重侵犯和践踏人权的行为,如普遍的性暴力行为;

    d. Other serious violations and abuses of human rights, such as widespread sexual violence;

    e. 战争罪或其他严重违反国际人道主义法的行为,反人类罪或种族灭绝罪。

    e. War crimes or other serious violations of international humanitarian law, crimes against humanity or genocide.

    5.2. 对严重侵权行为的风险管理:

    5.2. Regarding risk management of serious abuses

    如果泰丰先行有合理理由认为该风险存在,即上游供应商正从实施第1条所规定的严重侵权行为的任何一方进行采购或与该方有关联,泰丰先行将立即中止或中断与该上游供应商的合作。

    Taifeng will immediately suspend or discontinue engagement with upstream suppliers where Taifeng identify a reasonable risk that they are sourcing from, or linked to, any party committing serious abuses as defined in Article 1.

    5.3. 关于直接或间接支持非国家武装团体:

    5.3. Regarding direct or indirect support to non-state armed groups

    泰丰先行不会容忍任何通过矿产开采、运输、交易、处理或出口为非国家武装团体提供直接或间接的支持。通过矿产开采、运输、交易、处理或出口为非国家武装团体提供直接或间接的支持包括且不限于从非国家武装团体或其关联方购买矿产,向其进行付款,或以其他方式为其提供后勤支援或设备等。这些武装团体或关联方:

    Taifeng will not tolerate any direct or indirect support to non-State armed groups through the extraction, transport, trade, handing or export of minerals. “Direct or Indirect support” to non-state armed groups through the extraction, transport, trade, handing or export to of minerals includes, but is not limited to, procuring minerals from, making payments to or otherwise providing logistical assistance or equipment to, non-state armed groups or their affiliates who:

    a. 非法控制矿区,或以其他方式对运输路线、矿产资源交易地、以及供应链的上游行为主体进行控制;并/

    a. Illegally control mine sites or otherwise control transportation routes, points where minerals are traded and upstream actors in supply chain; and/or

    b. 在矿区入口、通往矿区沿线或矿产资源交易地非法征税或者勒索钱财或自然资源;并/

    b. Illegally tax or extort money or minerals at points of access to mine sites, along transportation routes or at points where minerals are traded; and/or

    c. 对中间商、出口企业或国际贸易商非法征税或勒索。

    c. Illegally tax or extort intermediaries, export companies or international traders.

    5.4. 对向非国家武装团体提供直接或间接支持的风险管理:

    5.4. Regarding risk management of direct or indirect support to non-State armed groups

    如果泰丰先行有理由认为,上游供应商从向非国家武装团体(见第3条中定义)提供直接或间接支持的任何一方进行采购或与之存在关系,泰丰先行将立即中止或中断与该供应商的合作。

    Taifeng will immediately suspend or discontinue engagement with upstream suppliers where we identify a reasonable risk that are sourcing from, or linked to, any party providing direct or indirect support to non-state armed groups as defined in Article 3.

    5.5. 关于行贿受贿及矿产原产地的欺诈性失实陈述:

    5.5. Regarding bribery and fraudulent misrepresentation of the origin of minerals

    泰丰先行不会直接或间接地提出、承诺、进行或索要任何贿赂,并且抵制索贿,不会为了掩盖或伪造矿产资源原产地,虚报矿产资源开采、贸易、处理、运输、出口等活动应向政府缴纳的税收、费用和特许开采费而行贿。

    Taifeng will not offer, promise, give or demand any bribes, and will resist the solicitation of bribes to conceal or disguise the origin of minerals, to misrepresent taxes, fees and royalties paid to governments for the purposes of mineral extraction, trade, handing, transport and export.

    5.6. 关于洗钱:

    5.6. Regarding Money Laundering

    如果泰丰先行有理由认为,存在因开采、交易、处理、运输或出口在矿区入口、运输路线沿线、或上游供应商矿产资源交易地进行非法征税或勒索而得的矿产资源所引起或与之相关的洗钱风险,泰丰先行将支持或采取措施,为有效消除洗钱行为做出贡献。

    Taifeng will support efforts, or take steps, to contribute to the effective elimination of money laundering where we identify a reasonable risk of money-laundering resulting from, or connected to, the extraction, trade, handing, transport or export of minerals derived from the illegal taxation or extortion of minerals at points of access to mine sites, along transportation routes or at points where minerals are traded by upstream suppliers.

    5.7. 关于向政府支付的税收、费用及特许费:

    5.7. Regarding the payment of taxes, fees and royalties due to governments

    泰丰先行将确保向政府支付所有高风险区域矿石开采、交易、出口相关的合法税收、费用和特许费,并且承诺根据企业在供应链上所处位置依照《采掘行业透明度行动计划》(EITI)中各项原则对此类支付进行披露。

    Taifeng will ensure that all taxes, fees, and royalties related to mineral extraction, trade and export from conflict-affected and high-risk areas are paid to governments and, in accordance with the company’s position in the supply chain, we commit to disclose such payments in accordance with the principles set forth under the Extractive Industry Transparency Initiative(EITI).

    5.8. 对行贿受贿及矿产原产地的欺诈性失实陈述、洗钱及向政府支付的税收、费用、特许费的风险管理:

    5.8. Regarding risk management of bribery and fraudulent misrepresentation of the origin of minerals, money-laundering and payment of taxes, fees and royalties to government

    根据企业在供应链上所处的具体位置,泰丰先行承诺与供应商、中央或地方政府机关、国际组织、民间社会以及受影响的第三方酌情进行合作,本着在合理的时间跨度内采取显著措施防范或降低有负面影响的风险之目的,对绩效进行改善或跟踪。风险降低措施实施六个月未奏效,泰丰先行将中止或中断与上游供应商的合作。

    In accordance with the specific position of the company in the supply chain, we commit to engage with suppliers, central or local governmental authorities, international organizations, civil society and affected third parties, as appropriate, to improve and track performance with a view to preventing or mitigating risks of adverse impacts through measureable steps taken in reasonable timescales. Taifeng will suspend or discontinue engagement with the upstream supplier after failed attempts at mitigation.

    5.9. 关于职业健康与安全:

    5.9. Regarding occupational health and safety

    在进行采购或生产时,泰丰先行不会获利于、协助、便利于任何为其直接和/或间接雇员和/或在其生产现场的任何人员提供威胁到生命的职业环境的一方,或从该方处采购或与之存在关联。

    When purchasing or producing, Taifeng neither benefit, assist, or facilitate any party providing the life-threatening occupational environment for any of its direct and/or indirect employees and/or anyone at its production site, nor purchase from or in any manner engage the party providing the same.

    5.10. 关于职业健康与安全的风险管理:

    5.10. Regarding risk management on occupational health and safety

    如果泰丰先行有合理理由认为上游供应商提供威胁到生命的职业环境,或从有该情况的任何一方采购或存在关联,泰丰先行将立即中止或中断与该供应商的合作。

    Taifeng will immediately suspend or discontinue engagement with upstream suppliers if we reasonably believe that the upstream supplier provides the life-threatening occupational environment for any of its direct and/or indirect employees and/or anyone at its production site, purchase from or in any manner engage any party providing the same.

    5.11. 关于童工:

    5.11. Regarding child labor

    在开展采购或开展经营活动时,泰丰先行将不会雇佣低于东道国法律或法规规定的最低工作年龄的儿童,不会获利于、协助或为低于东道国法律或法规规定的最低工作年龄的儿童就业提供便利,不会从有该情形的任何一方采购或与其有关联。如果东道国没有相关的法律或法规规定,最低工作年龄为16周岁。

    When purchasing or producing, Taifeng neither employ the child labor under the minimum age as specified by the applicable law and regulations of the host country, nor benefit, assist, or facilitate the aforesaid employment, nor purchase from or in any manner engage any party employing the same. If there is no applicable law and regulations in the host country relating to the minimum age, it shall be 16 years.

    如果泰丰先行有合理理由认为该风险存在,即上游供应商存在该情形,或者从存在该情形的任何一方进行采购或与该方有关联,泰丰先行将立即中止或中断与该供应商的合作。

    Taifeng will immediately suspend or discontinue engagement with upstream suppliers if we reasonably believe that the upstream supplier employ the child labor under the minimum age, purchase from or in any manner engage any party employing the same.

  1. 作为与泰丰先行商业往来的一个条件,各供应商必须遵循本行为准则。泰丰先行会不断完善自身对供应商是否遵循本准则的评估体系。与以下泰丰先行公司供应商行为规范各条对应,各供应商可选择适用相对应的国际认可标准:

    1. As a condition of doing business with Taifeng, each and every supplier factory must comply with this Code of Conduct.  Taifeng will continue to develop monitoring systems to assess compliance. However, compliance with the following internationally recognized alternative standards will assure minimum standards are met for the listed aspects of Taifeng’s SCOC.

  1. 如泰丰先行发现并确定任一供应商违反了此行为规范,泰丰先行有权终止与其的业务往来或要求此工厂执行整改计划。如有建议实施整改却未执行者,泰丰先行将延迟其未来订单的发放,且有可能终止与其当前的合作。

    If Taifeng determines that any factory has violated this Code, Taifeng may either terminate its business relationship or require the factory to implement a corrective action plan. If corrective action is advised but not taken, Taifeng  will suspend placement of future orders and may terminate current production

  2. 如供应商意识其自身或其供应商没有达到本规范要求标准应及时通知泰丰先行;并立即采取必要的整改措施加以改正。

    Suppliers will notify Taifeng immediately if they become aware of any non-compliance of their company or of any of their suppliers with these standards, and suppliers will take immediate necessary actions to remedy any non-compliance.
